Overview

Kim Prior is a corporate attorney specializing in advising growth-stage and established companies on complex business and transactional matters. With a strong focus on technology and innovation-driven businesses, she provides strategic legal counsel in areas including corporate structuring, governance, compliance, and capital raising through both debt and equity financing.

Kim routinely advises executive teams and boards on structuring and negotiating commercial transactions, investor and shareholder relations, and risk mitigation. Her expertise extends across the full lifecycle of mergers and acquisitions–from letter of intent and initial due diligence through final negotiations and post-transaction integration.

Known for her practical, business-oriented approach, Kim helps clients align legal strategy with long-term business goals. She is a trusted advisor to companies preparing for key inflection points such as capital raises, strategic partnerships , and exit events. 

Past Experience

Before joining West Hill Technology Counsel in 2022, Kim practiced at Goodwin Procter, in Boston, MA, where she advised venture capital and private equity fund managers.

Education

Kim holds a B.A. in Psychology (cum laude) from Gordon College and earned her J.D. (summa cum laude) from Suffolk University Law School. While at Suffolk, she served as an Associate Executive Editor of the Suffolk Journal of Trial & Appellate Advocacy, interned with  the Honorable Magistrate Judge Marianne Bowler, and received the Carlton Sellers Legal Writing Book Award.
