Overview

Carolyn Ramm is a technology transactions attorney with extensive experience providing legal support to software and silicon development, marketing, and sales in technology companies ranging from startups to Fortune 100 corporations. She is team-oriented, business-friendly and adept at building relationships at all levels of management.

Carolyn works closely with executives, product managers, engineers, and sales professionals to achieve desired results, including complex and critical licensing agreements, customer agreements, sales agreements, M&A due diligence and integration, selection and implementation of IT contract management, and document review systems.  

Past Experience

Before joining West Hill, Carolyn was in-house Legal Counsel at Qualcomm Technologies (QCOM), a household name in telecommunications technology based in San Diego, CA. Joining Qualcomm through its  2015 acquisition of CSR Plc, a British maker of Wi-Fi and Bluetooth semiconductors, she served as business unit counsel for their Printers and Imaging Division in Burlington, MA, while working with other business units (including those serving automotive, medical, industrial, and voice and music verticals) to complete inbound and outbound software and technology license agreements; support corporate intellectual property, sales, and marketing teams; and oversee corporate compliance activities in the areas of privacy, security, data protection, and export control.  

Before joining Qualcomm, she held a variety of senior-level legal positions where her responsibilities included legal transactions, employment/HR, litigation, contracts, financing, IPO, M&A, and intellectual property matters. These positions included:  in-house Senior Counsel at CSR Plc (acquired by Qualcomm, 2015), Senior Corporate Counsel at Zoran Corporation (acquired by CSR, 2011), Vice President & General Counsel at SavaJe Technologies, Inc., Vice President – Administration and General Counsel at Virtual Ink Corporation and Vice President & General Counsel at Xionics Document Technologies, Inc.  

Education

Carolyn received her B.A. in Political and Economic Systems from Yale University and her J.D. from Northwestern University Pritzker School of Law, where she served on the Northwestern Law Review. She also holds an M.B.A. from Boston University Questrom School of Business. 

Professional and Community Involvement

Carolyn Ramm is a Notary Public for Massachusetts and a Board member of the Folk Arts Center of New England. She is also a member of the Maine State Bar Association.
